This End User License Agreement ("Agreement") is between the applicable Contracting Entity (as defined below) and any person or organization purchasing access to The Signal, Return on Security's data platform (the "Database") under a License Order Form ("You").
By purchasing access to the Database, You agree to the terms outlined in this Agreement. Please read it carefully.
"Company," "We," or "Us" means whichever of the following entities is identified as the Service Provider on Your executed License Order Form (the "Contracting Entity"):
Unusual Returns LLC, a limited liability company organized under the laws of North Carolina, United States, doing business as "Return on Security", for customers whose License Order Form is executed with the US entity; or
Unusual Returns Limited, a company registered in England and Wales under company number 16230373, trading as "Return on Security", for customers whose License Order Form is executed with the UK entity.
Where this Agreement refers to the "Company," it refers only to the Contracting Entity that is party to Your License Order Form. Each Contracting Entity is a separate legal entity and is responsible only for its own agreements with its own customers; execution of a License Order Form with one Contracting Entity does not create any obligation on, or liability for, the other.
We grant You a limited, non-exclusive, non-transferable license to access and use the Database for the purpose described at the time of purchase. This license is for Your personal or business use only, and You may not share access with others or allow others to use the Database under Your account unless otherwise agreed upon in writing.
The Database and all of its content are owned by the Company. This Agreement does not convey any ownership rights to You. It only grants permission to use the Database under the terms specified herein.
You may not:
Resell, sublicense, or share access to the Database without our express written permission.
Copy, distribute, or make public any part of the Database without prior authorization.
Use the Database for any unlawful purposes.
Attempt to reverse-engineer, modify, or tamper with the Database or its contents.
We will make reasonable efforts to ensure that the Database is available at all times. However, we do not guarantee continuous access, and there may be periods of downtime for maintenance or technical issues. If significant interruptions occur, please contact us, and we will work to resolve the issue as soon as possible.
We reserve the right to update the Database or make changes to its content at any time. If these changes significantly affect Your use of the Database, we will provide notice to You. Continuing to use the Database after updates or changes means that You agree to those updates or changes.
Your purchase grants You access to the Database for the period or under the terms specified at the time of purchase. All fees are non-refundable unless otherwise stated in our refund policy. We may modify fees in the future, but these changes will not affect your current license period. Subscribers will be notified of any fee changes in accordance with this Agreement.
We may terminate or suspend Your access to the Database if You breach this Agreement. If this happens, You will not be entitled to a refund. You may choose to stop using the Database at any time, but no refunds will be issued for unused time unless otherwise agreed upon.
We respect Your privacy and handle Your personal information according to our Privacy Policy, available at returnonsecurity.com. By using the Database, You agree to the terms of our Privacy Policy. Where Unusual Returns Limited is the Contracting Entity, We will process personal data in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018. Where Unusual Returns LLC is the Contracting Entity, We will process personal data in accordance with applicable United States data protection laws.
The Database is provided "as-is" and "as available." While we strive to provide accurate and useful information, we do not guarantee that the Database will be error-free, up-to-date, or meet Your specific needs. We disclaim any warranties, whether express or implied.
To the maximum extent permitted by law, We will not be liable for any damages arising from Your use of the Database, including loss of data, profits, or business opportunities, even if We have been advised of the possibility of such damages.
The governing law and jurisdiction for this Agreement depend on the Contracting Entity identified in Your License Order Form:
If the Contracting Entity is Unusual Returns LLC, this Agreement is governed by the laws of North Carolina, United States, without regard to its conflict of laws principles, and any disputes will be resolved in the courts located in North Carolina, United States.
If the Contracting Entity is Unusual Returns Limited, this Agreement is governed by the laws of England and Wales, and any disputes will be resolved in the courts of England and Wales, subject to their exclusive jurisdiction.
If Your License Order Form separately specifies governing law or jurisdiction, that provision controls over this Section 12 as between You and Your Contracting Entity.
We may update or modify this Agreement from time to time. We will notify You of any significant changes by email or through the Database itself. Your continued use of the Database after such changes means You accept the updated terms.
We offer flexible subscription options for accessing the Database. Subscription terms, access levels, and pricing are determined based on the specific needs of the Subscriber and may vary accordingly.
Scope of Access: Each subscription level provides varying degrees of access to the Database, which may include a subset or the entire historical data depending on the selected plan. Access specifics will be communicated and agreed upon prior to subscription activation.
Access Provisioning: Access to the Database is provided directly through the platform once payment is confirmed. The subscription will automatically renew at the end of each billing period unless canceled according to the terms outlined in Section 8 (Termination).
User Licensing: Each subscription requires a separate user license for each individual accessing the Database, unless otherwise agreed upon in the subscription agreement.
Custom or Enhanced Services: Higher levels of service, including analyst support or custom analysis, may be available upon request and subject to a separate agreement. Please contact us directly for more information on custom service tiers.
Price Adjustments: Pricing and terms of access are subject to change. Subscribers will be notified of any adjustments in accordance with the notice requirements outlined in Section 7 (Fees and Payment).
By purchasing access to the Database, You acknowledge that You have read, understood, and agree to this End User License Agreement, including the identification of Your applicable Contracting Entity.
